FINAL ORDER TO CEASE AND DESIST AS TO ALL RESPONDENTS

On October 5, 2009, the Enforcement Section of the Securities Division of the Office of Secretary of State (the “Enforcement Section”), by and through Mary S. Hosmer, Assistant Commissioner, submitted a Petition for Final Order to Cease and Desist and Payment of Civil Penalties and Costs as to All Respondents (the “Petition”).  After reviewing the Petition, the Commissioner issues the following findings of facts, conclusion of law, and order:

  PROCEDURAL BACKGROUND

  1. On March 13, 2009, the Enforcement Section submitted a Petition for Order to Cease and Desist and Order to Show Cause Why Civil Penalties and Costs Should not be Imposed in the above-styled matter.

  2. On March 20, 2009, Denvil Crowe, an attorney for Respondent Boyd B. Greene sent a Notice of Automatic Stay to the Enforcement Section. This Notice stated that Boyd B. Greene had filed a petition in bankruptcy under Chapter 7, title 11 United States Code in the United States Bankruptcy Court in the Northern District of Mississippi, In the matter of Boyd B. Greene Chapter 7, Case No. 06-10841 .

  3. On March 25, 2009, the Commissioner issued an Order to Cease and Desist and Order to Show Cause Why Civil Penalties and Costs Should not be Imposed (the C&D Order"). On that same date, notice and a copy of such order were sent to Respondents, by certified U.S. Mail, pursuant to Section 409.6-604(b), RSMo. (Cum. Supp. 2008).

  4. On April 2, 2009, Mr. Crowe, on behalf of Respondent Boyd B. Greene, sent a Notice to Each Added Creditor, Trustee and U.S. Trustee to the Enforcement Section. This Notice listed the State of Missouri, Secretary of State as a creditor holding an unsecured nonpriority claim.

  5. On April 17, 2009, the C&D Order and notices thereof sent to Respondents, Judy C. Jones, James S. Dodson, and Nu-Corp International Technologies, Inc. were returned "Undeliverable as Addressed, No Forwarding Order on File" to the Commissioner.

  6. On July 30, 2009, Respondents Judy C. Jones, James S. Dodson, and Nu-Corp International Technologies, Inc., were served with the C&D Order pursuant to Section 409.6-611(b), RSMo. (Cum. Supp. 2008), through service upon the Commissioner.

  7. The Respondents did not request a hearing in this matter or otherwise contact or communicate with the Commissioner.

  8. In the Petition, the Enforcement Section requested a Final Order to Cease and Desist as to all Respondents in this matter.

  9. In the Petition, the Enforcement Section requested that the Commissioner issue an order requiring the Respondents to pay, jointly and severally, costs of the investigation in this matter in the amount of one thousand six hundred eighty-five dollars ($1,685).

  10. In the Petition, the Enforcement Section requested that the Commissioner issue an order imposing a civil penalty of ten thousand dollars ($10,000) against each Respondent for multiple violations of Section 409.3-301, RSMo. (Cum. Supp. 2008).

  11. In the Petition, the Enforcement Section requested that the Commissioner issue an order imposing a civil penalty in the amount of ten thousand dollars ($10,000) against Respondent James S. Dodson for multiple violations of Section 409.4-402(a), RSMo. (Cum. Supp. 2008);

  12. In the Petition, the Enforcement Section requested that the Commissioner issue an order imposing a civil penalty in the amount of ten thousand dollars ($10,000) against Respondent Nu-Corp International Technologies, Inc., for multiple violations of Section 409.4-402(d), RSMo. (Cum. Supp. 2008);

  13. In the Petition, the Enforcement Section requested that the Commissioner issue an order imposing a civil penalty in the amount of ten thousand dollars ($10,000) against each Respondent for multiple violations of Section 409.5-501, RSMo. (Cum. Supp. 2008);

  14.  FINDINGS OF FACT

  15. The Commissioner adopts and incorporates the Findings of Facts, paragraphs 1-22, in the C&D Order.

  16.  CONCLUSIONS OF LAW

  17. The Commissioner adopts and incorporates the Conclusions of Law, paragraphs 36-57, in the C&D Order.

  18. This Order is in the public interest and consistent with the purposes intended by the Missouri Securities Act of 2003.

 ORDER

NOW, THEREFORE, it is hereby ORDERED that:

  1. The Cease and Desist Oder entered in Case Number AP-09-13 on March 25, 2009, is FINAL as to all Respondents.

  2. The Enforcement Section's requests in the Petition for orders imposing maximum penalties are hereby DENIED.

  3. The Enforcement Section's request in the Petition that the Commissioner charge costs in this matter to the Respondents is hereby DENIED.

  4. Respondents shall pay their own costs and attorneys' fees with respect to this matter.
