Kander reminds corporations to file registration reports
Jefferson City, MO— Secretary of State Jason Kander today reminded Missouri corporations to file their annual registration reports. The 2013 deadline for filing depends on when businesses were initially incorporated.
In order for corporations to remain in “good standing” and in compliance with Missouri law, registration reports must be filed in a timely manner or a $15 penalty fee will be assessed each month it’s late. Additionally, failure to report on time will result in an administrative dissolution of corporate status, which results in a corporation no longer being able to conduct business in the state of Missouri.
Missouri law allows corporate registration reports to be filed biennially. Corporations that incorporated in even-numbered years will register in even-numbered years. Likewise, corporations that incorporated in odd-numbered years will register in odd-numbered years. Corporations will still have the option of filing their registration annually.
Corporations may change the month in which their registration report is due, but there is a $25 fee associated with this change.
Reports may be filed online by visiting www.sos.mo.gov, or print and mail the completed form.
